Belgian Company Law 2.0 : Belgium reforms company law to join the competition for corporate charters
Abstract: As of 1 May 2019 a new Belgian Companies and Associations Code is applicable in Belgium. The new Code is generally aimed at making Belgian company law simpler, more flexible, innovative and coherent, so as to convince domestic and foreign entrepreneurs to choose a Belgian company form for their Belgian and cross-border activities. The new Code is generally aimed at making Belgian company law simpler, more flexible, innovative and coherent, so as to convince domestic and foreign entrepreneurs to choose a Belgian company form for their Belgian and cross-border activities. Some of the key aspects of the reform are: the reduction of the number of company forms to 4 basic forms; the fundamental revision of theprivate limited liability company (a prominent change is that the rigid concept of capital will be completely abolished) and the replacement of the real seat doctrine by the statutory seat doctrine as the private international law connecting factor for company law.
